TERMS OF SERVICE
Panama Sound (“Panama Sound,” “we,” “us”)
By booking a session, submitting payment, or accessing this website, you (“Client,” “you”) agree to be bound by the terms below. If you do not agree, do not book a session or use the website.
1. Ownership & Rights
All original recordings, performances, and compositions created during your session are your exclusive property upon creation. Panama Sound makes no claim to your masters, publishing, or royalties, and no rights are retained, assigned, licensed, or implied by virtue of providing recording, mixing, or mastering services.
This assignment applies to your creative work product only. It does not extend to Panama Sound’s proprietary materials, including but not limited to session templates, plugin chains, processing techniques, business documentation, or the website content addressed in Section 8.
2. Booking & Session Structure
Sessions are billed hourly with a four-hour minimum and begin at the scheduled start time regardless of Client’s arrival. Late arrival does not extend session length or reduce the total charge.
3. Payment, Deposits & Cancellations
All payments and deposits are non-refundable except as expressly stated here. Sessions rescheduled with at least 48 hours’ notice will have payment transferred to a new mutually agreed date. Sessions cancelled with less than 48 hours’ notice, or in the event of a no-show, forfeit all payments and deposits, in full, with no exceptions absent Panama Sound’s sole discretion.
4. Studio Conduct
By entering the studio premises, Client and any accompanying guests agree to behave respectfully, lawfully, and safely. Panama Sound reserves the right to terminate a session immediately and without refund if, in its reasonable judgment, conduct is disruptive, unsafe, illegal, or disrespectful toward Panama Sound, its staff, or other clients.
Clients are financially responsible for the full cost of repair or replacement of any studio equipment, fixtures, or property damaged as a result of Client’s or Client’s guests’ negligence, misuse, or intentional acts.
5. Personal Equipment
Clients may bring personal instruments and gear. Panama Sound is not responsible for loss, theft, or damage to personal property brought onto the premises, however caused. Clients are solely responsible for insuring their own equipment.
6. Deliverables
Sessions include a stereo mix and any additional files agreed upon at the time of booking or during the session, delivered digitally. Mastering, if requested, is a separate paid service governed by its own timeline and is not included in session deliverables unless explicitly stated in writing.
7. Limitation of Liability
To the fullest extent permitted by law, Client uses studio premises and services at Client’s own risk. Panama Sound, its owner, and its agents are not liable for personal injury, property loss or damage, or interruptions or failures caused by events beyond Panama Sound’s reasonable control (including but not limited to power failure, equipment failure, or acts of third parties).
Panama Sound maintains reasonable data-handling safeguards but is not liable for loss of session data, recordings, or files resulting from hardware failure, software failure, or other catastrophic event outside its direct control.
In no event will Panama Sound’s total liability arising out of or related to a session exceed the total amount paid by Client for that session. This limitation applies regardless of the legal theory on which liability is based, including contract, tort, or negligence, and applies even if Panama Sound has been advised of the possibility of such damages.
Nothing in this section limits liability for gross negligence, willful misconduct, or any liability that cannot be limited or excluded under applicable law.
8. Indemnification
Client agrees to indemnify and hold harmless Panama Sound, its owner, and its agents from any third-party claims, damages, or expenses (including reasonable attorney’s fees) arising from Client’s breach of these Terms, Client’s negligent or unlawful conduct, or content Client provides for recording that infringes a third party’s rights.
9. Website & Digital Content Use
By using this website, you agree to the terms in this section in addition to the Terms as a whole.
All content on panamasound.com — including but not limited to pages, articles, photographs, video, and audio — is the copyrighted property of Panama Sound or its licensors and is provided for informational viewing only. No content may be reproduced, republished, distributed, or used to create derivative works without Panama Sound’s prior written consent.
The Panama Sound name, logo, and related marks are proprietary to Panama Sound. Press-kit materials made available for download (logo files, flyers, and similar assets) are licensed for the limited purpose of press coverage, promotion, or attribution related to a session or release involving Panama Sound, and for no broader purpose. This license does not transfer ownership and may be revoked at Panama Sound’s discretion.
The client portal is a private, access-restricted system provided solely to active clients. Login credentials are personal to Client, may not be shared or transferred, and any unauthorized access is Client’s responsibility to report immediately. Content within the portal is for Client’s own use and may not be redistributed.
The Stripe payment link is password-protected and provided solely to clients with an active or pending booking. It is not authorized for public use, distribution, or use by any third party. Client is responsible for any charges or fraudulent use resulting from Client’s sharing of the link or credentials, except where caused by Panama Sound’s own negligence.
10. Changes to Terms
These Terms may be updated at any time without prior notice. The version in effect at the time of a given session or website visit governs that use. Continued booking or use of the website after changes are posted constitutes acceptance of the current version.
11. Governing Law & Disputes
These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles. Any dispute arising under these Terms will be resolved in the state or federal courts located in Contra Costa County, California, and Client consents to jurisdiction there.
12. Severability
If any provision of these Terms is found unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
